Own shares and relations with the conferring body

As at 31 December 2008, the share capital of Parent company Banca Carige amounted to € 1,790,298,846, made up of 1,615,032,895 ordinary shares and 175,265,951 convertible savings shares with a nominal value of € 1 each.

In March 2008, the increase in the share capital was completed successfully - resolved by the Bank's Board of Directors on 31 January 2008, by virtue of the authority delegated by the Extraordinary Shareholders' Meeting on 26 November 2007, and related to the acquisition of 78 bank branches from the Intesa Sanpaolo Group -with the subscription of all 398,848,684 new ordinary shares offered under optioni, with a total value of € 957,236,841.60.

Further changes to the composition of share capital that took place during the year are the result of the conversion of bonds constituting the loan "Banca Carige 1.50% hybrid subordinated issue with premium at maturity convertible into ordinary shares" and of savings shares into ordinary shares.

Taking account of conversion requests of bonds related to the above mentioned loan and savings shares into ordinary shares received up to 27 March 2009, Banca Carige's share capital will be made up by 1,615,989,131 ordinary shares and 174,309,715 savings shares as at the date of the shareholders' meeting called to approve the 2008 financial statements.

As at 31 December 2008, the shareholding held by Cassa di Risparmio di Genova e Imperia (conferring body) stood at 44.08%, while the share of CNCE was 14.99%. Generali Assicurazioni was the third shareholder with 4.09% (held directly and indirectly through subsidiaries), while the remaining portion (36.84%) was placed on the market.

As regards the existing relations with Fondazione Cassa di Risparmio di Genova e Imperia, € 28.3 million in liabilities were recorded, related to Banca Carige (of which € 28 million in repurchase agreements), which generated interest amounting to € 1.3 million, while assets stood at € 0.3 million; bank revenues totalled € 0.7 million and refer to seconded staff and bank commissions.
